These Terms of Service ("Terms") govern your access to and use of the website, applications, APIs, and related services (collectively, the "Services") provided by Kronicle Research Private Limited ("Company", "we", "us", or "our").
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind such organization to these Terms. If you do not agree, you must discontinue use of the Services immediately.
1. Nature of Services and AI Disclaimer
1.1. The Services are legal technology tools intended to assist with document management, workflow automation, compliance facilitation, analytics, and related operational use cases.
1.2. The Company is not a law firm. The Services do not constitute legal advice, legal opinion, or recommendation, and use of the Services does not create an attorney-client relationship.
1.3. Certain features of the Services may generate automated or AI-assisted outputs. Such outputs are generated using probabilistic models and may contain inaccuracies, omissions, or misstatements.
1.4. You acknowledge and agree that:
- All Outputs are provided for informational and operational purposes only;
- Outputs must be independently reviewed and verified before reliance; and
- The Company makes no representation or warranty as to the accuracy, completeness, or suitability of any Output.
2. Electronic Transactions
You acknowledge that electronic records, approvals, communications, and transactions conducted through the Services are legally valid under applicable law, including the Information Technology Act, 2000. You consent to the use of electronic records and signatures and are responsible for ensuring all transactions conducted through your account are authorized.
3. Eligibility and Account Responsibility
3.1. You represent and warrant that:
- You are at least 18 years of age;
- You have the legal capacity to enter into a binding contract; and
- If acting on behalf of an organization, you are duly authorized to do so.
3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must promptly notify us of any unauthorized access or use.
4. Acceptable Use
You agree not to:
- Use the Services in violation of applicable laws or regulations;
- Upload or process unlawful, infringing, misleading, or harmful content;
- Attempt to gain unauthorized access to systems or data;
- Reverse engineer, decompile, or misuse proprietary technology;
- Interfere with the security, integrity, or performance of the Services.
We reserve the right to investigate violations and cooperate with law enforcement or regulatory authorities where required.
5. Customer Data and Content
5.1. You retain all right, title, and interest in documents, information, and materials uploaded to the Services ("Customer Data").
5.2. You grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Services, or as required by law.
5.3. You represent and warrant that you have all necessary rights, permissions, and lawful basis to upload and process Customer Data using the Services.
6. Data Protection and Security
6.1. The Company shall implement commercially reasonable administrative, technical, and organizational security measures designed to protect Customer Data against unauthorized access, disclosure, alteration, or destruction.
6.2. To the extent Customer Data includes personal data, the parties agree to be bound by a Data Processing Addendum ("DPA"). In the event of any conflict between these Terms and the DPA, the DPA shall prevail with respect to data protection obligations.
6.3. The Company may engage third-party service providers and subprocessors to support delivery of the Services, provided that the Company remains responsible for their compliance with applicable contractual obligations relating to data protection and confidentiality.
7. No AI Training on Customer Data
The Company will not use Customer Data, Content, or documents uploaded to the Services to train artificial intelligence or machine learning models. Subprocessors are contractually prohibited from using Customer Data or Content for model training, retention, or human review, except as required to provide the Services or comply with applicable law.
8. Usage Data
The Company may collect and use anonymized and aggregated data relating to access to and use of the Services ("Usage Data") to operate, maintain, analyze, and improve the Services. Usage Data will not include Customer Data or information that identifies you or your users.
9. Fees, Trials, and Payments
9.1. Certain Services may be offered on a free trial or evaluation basis. The Company reserves the right to limit features, resources, or duration of such trials and to terminate trial access if it reasonably believes the Services are being used in bad faith.
9.2. Paid Services are subject to applicable fees disclosed prior to purchase. Payments are processed through authorized payment partners, and applicable taxes, including GST, are payable in addition to stated fees.
9.3. Unless otherwise stated in writing, fees are non-refundable.
10. Intellectual Property
All rights, title, and interest in and to the Services, including software, workflows, designs, trademarks, and proprietary technology, remain the exclusive property of the Company or its licensors. No ownership rights are transferred to you.
11. Confidentiality
Each party agrees to protect the other party’s confidential information using reasonable care and to use such information solely for purposes permitted under these Terms. Confidential information may be disclosed only as required by law or with prior written consent.
12. Third-Party Services
The Services may integrate with third-party products or services. The Company is not responsible for third-party services, which are governed by their own terms and policies.
13. Service Availability and Disclaimer
The Services are provided on an "as is" and "as available" basis. The Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Services will be uninterrupted or error-free.
14. Limitation of Liability
14.1. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages.
14.2. Except for claims arising from (i) breach of confidentiality, (ii) data protection obligations, or (iii) willful misconduct, the Company’s total aggregate liability shall not exceed the greater of (a) the fees paid by you in the twelve (12) months preceding the claim or (b) INR [Insert Amount].
14.3. For claims arising from breach of confidentiality or data protection obligations, total liability shall not exceed INR [Insert Higher Amount].
15. Indemnification
You agree to indemnify and hold harmless the Company and its affiliates from any claims, losses, damages, or expenses arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.
16. Suspension and Termination
The Company may suspend or terminate access to the Services for violation of these Terms, non-payment, misuse, or where required by law. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Subject to applicable law, disputes shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
18. Amendments
The Company may update these Terms from time to time by posting revised Terms with an updated effective date. Continued use of the Services constitutes acceptance of the revised Terms.
